Terms of Service

These terms apply to your use of SpendByTeam (the "Service"), including the website, dashboard, command-line tool and ingest API.

The Service is provided by WebKoding Yazılım ve Teknoloji Çözümleri Ticaret Limited Şirketi ("WebKoding", "we"), Kastamonu Üniversitesi Teknokent. Contact: hello@spendbyteam.com.

1. The Service

SpendByTeam reports what AI coding tools cost, by team, project, branch and client. It works from usage metrics and session context your tools send to us. It does not receive prompts, model responses, source code or file contents. Our security page lists exactly what we receive.

Figures in the Service are estimates based on the data reported by your tools. Your AI provider's invoice remains the authoritative record of what you owe that provider.

2. Accounts

The Service is intended for businesses and professionals. You must provide accurate account information, keep your credentials and ingest tokens secure, and tell us promptly about any unauthorised use. The person who creates an organization confirms that they may bind it to these terms.

You are responsible for telling your developers that their usage is being reported, and for having a lawful basis to do so.

3. Plans and trials

Plans, limits and prices are shown on our pricing page. The Free plan has the limits stated there. Paid plans can be tried for 14 days without a card. When a trial or paid subscription ends without renewal, the dashboard becomes read-only for that organization; data collection continues until you stop it or delete the organization.

4. Payment

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Invoices are issued by Paddle and are available from the Billing page in your dashboard. Paddle's buyer terms also apply to your purchase.

Paid plans are charged per active developer. An active developer is one with reported cost during the billing period. We update the number of developers on the first day of each month, and the new number applies from your next billing period. Subscriptions renew automatically until cancelled. Prices may exclude taxes, which Paddle adds at checkout where they apply.

We may change prices by giving you at least 30 days' notice. A change applies from your next renewal after that notice.

5. Cancellation and refunds

You can cancel at any time from the Billing page. Your plan stays active until the end of the period you paid for. Our refund policy explains when you can get your money back.

6. Acceptable use

You must not use the Service to break the law or infringe the rights of others, attempt to access another organization's data, disrupt or overload the Service, send it data other than usage metrics and session context, or resell it without our written agreement. We may suspend access where this is needed to protect the Service or other customers. Where we reasonably can, we will tell you first.

7. Your data

You keep all rights to the data you send to the Service. You allow us to process it only to provide, secure and support the Service. Our privacy policy explains how we handle personal data. Deleting an organization permanently deletes its data after a 7-day grace period.

8. Our rights

We keep all rights to the Service, apart from the open-source components, which are covered by their own licences. You may use the Service for your own business during your subscription.

9. Availability and changes

We work to keep the Service available and accurate, but it is provided "as is" and we do not guarantee that it will be uninterrupted or error-free. We may change or improve features. If we plan to stop the Service, we will give you at least 30 days' notice and time to export your reports.

10. Liability

To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profit, revenue or data. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

11. Ending this agreement

You can stop using the Service and delete your organization at any time. We may end your access if you seriously or repeatedly break these terms.

12. Changes to these terms

We may update these terms. If a change is material, we will tell you by e-mail or in the dashboard before it applies. If you do not accept a change, you can cancel before it takes effect.

13. Governing law

These terms are governed by the laws of the Republic of Türkiye. The courts of Kastamonu have jurisdiction, unless mandatory law gives you the right to bring a claim elsewhere.
